Hempväna Million Dollar Giveaway Terms and Conditions

1. Eligibility: This giveaway is open only to legal residents of the 48 contiguous United States and the District of Columbia who are at least 18 years of age at the time of participation. Void in Alaska, Hawaii, and where prohibited by law.

2. Giveaway Period: The giveaway starts on January 15, 2024, and ends on May 1, 2024, at 11:59 PM EST or when the supply of 10,102 promo codes is exhausted, whichever occurs first.

3. How to Participate: To participate, post a photo or video of any Hempvana pain relief cream and a caption detailing your experience on your personal Facebook, Instagram, or TikTok account, and include in the caption why you love the product. The caption must include the hashtag #HempvanaGiveaway. The post must be made before May 1, 2024, and the account must be set to public to be eligible.

All posts submitted as part of the giveaway become the sole and exclusive property of Sponsor and will not be acknowledged. Participation beyond the permitted number are void. Use of multiple email addresses, multiple Facebook, Instagram or TikTok accounts, or any automated system to enter is prohibited and will result in disqualification. Posts must: (a) be the original work product of participant; (b) be solely owned by participant and with no other person or entity having any right or interest in it; and (c) not violate any third-party rights, including but not limited to copyright, trademark, patent, contract, and/or publicity or privacy rights of any other person or entity. Participant shall not directly or indirectly include any trademark, logo, or intellectual property in his/her entry in any way unless owned exclusively by participant. If someone other than the participant has taken, captured or created the content contained within the entry, participant must have prior written permission from such person to submit such content as part of the post, and participant must be able to obtain a signed release from such person and provide such release to Telebrands Corp. (“Telebrands”) upon the request of Telebrands, in Telebrands’ sole discretion. By submitting a post, participant represents his or her compliance with these terms.

Telebrands may reject any post in its sole discretion if the entry in whole or in part: contains any illegal or offensive activity, or is obscene, defamatory, likely to incite violence or illegal; includes any material in violation of any third-party’s rights; contains material which is (or promotes activities that are) sexually explicit, obscene, pornographic, violent, self-mutilating or mutilating of animals, discriminatory (based upon race, sex, religion, natural origin, physical disability, sexual orientation, or age); is threatening, profane, or harassing; portrays Sponsor or any person or entity negatively; violates `any third-party rights including but not limited to copyright, trademark, patent, contract, and/or publicity or privacy rights of any other person or entity; includes directly or indirectly any trademark, logo, or intellectual property in any way unless owned exclusively by participant, and/or which is otherwise deemed to be inappropriate or demeaning in Telebrands’ sole discretion.

Post must not attempt to duplicate any other entry or third-party works. Notwithstanding, Telebrands reserves the right in its sole discretion to disqualify any entry that is a duplicate or substantially similar to another post and Telebrands may, in its sole discretion, disqualify any entry that violates these parameters and/or any other part of these terms.

4. Gift Notification: The first 10,102 eligible participants who follow the participation steps outlined above will receive a one-time use promo code via Facebook Messenger, Instagram Direct Message, or TikTok Direct Messaging, as appl``icable, to be used to claim one (1) jar of Hempväna Double Platinum.

5. Gift Redemption: Participants can redeem their promo code at Hempvana.com for one (1) jar of Hempväna Double Platinum with a retail value of $99. To redeem, participants must add the Hempväna Double Platinum jar to their shopping cart at www.hempvana.com, and enter the promo code at checkout. The gift will be shipped to the address provided by participant at checkout.

GIFTS ARE OFFERED AND PROVIDED "AS IS" WITH NO WARRANTY OR GUARANTEE BY SPONSOR OTHER THAN WHAT IS EXPRESSLY INCLUDED WTH THE GIFT.

All non-stated features of the gift are at Sponsor’s discretion and subject to availability. All expenses and costs not expressly listed in these terms are the sole responsibility of the participants. Participants will be responsible for all other expenses relating to the receipt and use of the gift. Gifts are nontransferable and may not be substituted or redeemed for cash by participants. Sponsor reserves the right to substitute a gift, in whole or in part, for one of equal or greater value. All federal, state, provincial, municipal, and local taxes are solely the responsibility of participants. Gifts are for personal use only and may not be resold on any website, including, but not limited to, Amazon.com, Walmart.com, and eBay.com.

6. Publicity Rights: By participating in the giveaway, participants grant the Sponsor the right to use their name, photograph, post, and/or likeness for unpaid advertising and promotional purposes in any medium, without additional compensation, except where prohibited by law. If the Sponsor wishes to use any participant's post for paid advertising, the participant will be contacted via email to provide written permission. A consent form will be provided, and the participant can grant or deny permission for such use. Providing written consent for paid advertising is not a condition of participation or receipt of the gift.

7. Liability Release: By participating, each participant agrees to (a) comply with and be bound by these terms and the decisions of the Sponsor and/or its designee(s) which are binding and final in all matters relating to this giveaway; (b) release, indemnify, and hold harmless Sponsor, Meta, TikTok, and their respective parent, subsidiary, and affiliated companies, the gift suppliers, and any other organizations and/or persons responsible for sponsoring, fulfilling, administering, advertising, or promoting the giveaway and all of their respective past and present officers, directors, employees, and agents and representatives (collectively, the “Released Parties”) from and against any and all claims, expenses, and liability, including but not limited to negligence and damages of any kind to persons and property, including but not limited to invasion of privacy (under the appropriation, intrusion, public disclosure of private facts, false light in the public eye or other legal theory), defamation, slander, libel, violation of the right of publicity, infringement of trademark, copyright, or other intellectual property rights, property damage, or death or personal injury arising out of or relating to a participant’s post, creation of a post, or submission of a post, participation in the giveaway, acceptance or use or mismmuse of gift (including any travel or activity related thereto) and/or the broadcast, exploitation, or use of post; and (c) indemnify, defend and hold harmless the Released Parties from and against any and all claims, expenses, and liabilities (including reasonable attorneys’ fees) arising out of or relating to a participant’s participation in the giveaway and/or the participant’s acceptance, use, or misuse, or possession of any prize received of any gift.

The Released Parties are not responsible for: (a) any incorrect or inaccurate information, whether caused by participant, or programming associated with or used in the giveaway; (b) technical failures of any kind, including but not limited to malfunctions, interruptions, or disconnections in phone lines or network hardware or software; (c) unauthorized human intervention in any part of the entry process or the giveaway; (d) technical or human error, which may occur in the administration of the giveaway or the processing of posts; (e) any injury or damage to persons or property, which may be caused, directly or indirectly, in whole or in part, from participant’s participation in the giveaway or receipt or use or misuse of any gift; or (f) entries, posts, prize claims or notifications that are lost, late, incomplete, illegible, unintelligible, damaged or otherwise not received by the intended recipient, in whole or in part, due to computer, human or technical error of any kind, including but not limited to, by reason of unauthorized human intervention, spam filters, privacy settings, inactive email accounts or an participant’s failure to monitor its email account. If, for any reason, a participant’s post is confirmed to have been erroneously deleted, lost, or otherwise destroyed or corrupted, the sole remedy is another entry in the giveaway. No more than the stated number of gifts will be distributed. If, for any reason, the giveaway cannot be executed as planned, including, but not limited to, any governmental order, epidemic, pandemic, force majeure, social media mandate, printing, administrative or other error of any kind, transmission failure, infection by computer virus, bugs, tampering, unauthorized intervention, fraud, technical failures, or any other causes beyond the control of Sponsor that corrupt or affect the security, administration, fairness, integrity or proper conduct of the giveaway, or if the giveaway is compromised or becomes technically g nf in any way, electronically or otherwise, Sponsor reserves the right, in its sole discretion, to cancel, modify or terminate the giveaway anm, if terminated before the original end date, to distribute the gifts to eligible, non-suspect participants as of the date/time of termination.

BY PARTICIPATING IN THE GIVEAWAY, PARTICIPANT AGREES THAT, TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW: (1) ANY AND ALL DISPUTES, CLAIMS AND CAUSES OF ACTION ARISING OUT OF OR CONNECTED WITH THE GIVEAWAY, OR ANY GIFT(S) AWARDED WILL BE LIMITED TO ACTUAL, OUT-OF-POCKET COSTS INCURRED (IF ANY) NOT TO EXCEED TEN DOLLARS ($10.00), BUT IN NO EVENT WILL ATTORNEYS’ FEES BE AWARDED OR RECOVERABLE; AND (2) UNDER NO CIRCUMSTANCES WILL ANY ENTRANT BE PERMITTED TO OBTAIN ANY AWARD FOR, AND PARTICIPANT HEREBY KNOWINGLY AND EXPRESSLY WAIVES ALL RIGHTS TO SEEK, PUNITIVE, INCIDENTAL, CONSEQUENTIAL OR SPECIAL DAMAGES, LOST PROFITS AND/OR ANY OTHER DAMAGES AND/OR ANY RIGHTS TO HAVE DAMAGES MULTIPLIED OR OTHERWISE INCREASED
